These terms and conditions are binding. Please read carefully.
These terms and conditions (herewith referred to as "the Agreement") are made BETWEEN Citystream Consulting (UK) Limited (herewith referred to as “Citystream”) AND The client (herewith to be called “the Client”).

1. Citystream is in the business of providing candidates to clients in various industry sectors for permanent appointments with them, and Citystream will introduce candidates to the Client for appointment by the Client.
2. An introduction of a candidate shall be deemed to have taken place when Citystream supplies to the client any information relating to a candidate. This Agreement comes into effect upon an introduction taking place. Checking candidate’s references is the responsibility of the Client.
3. The candidate shall be deemed to be introduced or supplied by Citystream to the Client whether known to the Client or not.
4. The Client shall forthwith notify Citystream on the engagement of the candidate, and provide a copy of any job offer made by the Client to the candidate.
5. The client shall pay Citystream a fee upon the engagement of the candidate calculated as a percentage of the candidate’s first years remuneration (basic salary plus car allowance and any guaranteed bonuses). Where a car is included instead of a car allowance an additional fee of £500 will be added. The client shall provide to Citystream a full statement of the total remuneration to be received by a candidate. For this purpose the percentage of the candidate’s first years remuneration will be:
   
   £0-19,999 @ 20% of salary (plus VAT)
   £20-34,999 @ 25% of salary (plus VAT)
   £35,000+ @ 30% of salary (plus VAT)
   
   Where the Client retains the services of a candidate who is self employed or otherwise employed under a contract for service, the fee will be calculated in accordance with the above scale.
6. The fee shall be payable by the Client within 14 days of invoice date. Citystream reserves the right to charge interest of fees overdue by more than 14 days at the rate of 3% per annum above the base rate of Barclays Bank PLC accruing from day to day from the date payment is due until payment is made in full.
7. The Client shall bear the legal costs incurred by Citystream if an invoice is not paid or if it is paid after 14 days have elapsed since it was issued for payment.
8. The introduction of the candidate is confidential. To pass such introduction or any information concerning the candidate to any other party renders the Client liable to the fees set out above.
9. Should the candidate leave the Clients employment the following credit will be issued by Citystream.
   
   

   Period of Employment	Percentage of Credit
   0-4 weeks	50% rebate of fee
   5-6 weeks	20% rebate of fee
   7-8 weeks	10% rebate of fee

   
   Should payment for an invoice not be received within the agreed 14 days, then the above rebate agreement will not apply.
10. 1. Re-engagement of a candidate in respect of whom a refund was made or credited will result in full fee becoming due and payable immediate with no further credits or refunds being allowed.
    2. If an appointment of a candidate is made by the Client within 12 months of an introduction then Citystream fees become payable.
    3. Request for credit must be received in writing by Citystream within 10 calendar days of the date of the candidate leaving the Clients employment, otherwise no rebate shall be payable.
    4. No rebate payable if appointment rescinded for no good reason or candidate is made redundant.
    5. After the candidate has been employed by the Client for any period exceeding 8 weeks no request for credit will be considered by Citystream.
11. This agreement constitutes the only contract between Citystream and the client and can only be varied in writing by a director of Citystream Consulting (UK) Ltd.
12. This agreement shall be governed by the laws of England and Wales.
